The purpose of the meeting is to consider the attached proposals to amend the Club Constitution and Rules.

Proposal 1

This sets out the conditions under which the Club’s premises at 2 Church Road, Malahide can be sold, leased, exchanged, transferred or otherwise dealt with or used as security for any future loan, mortgage or other borrowing,

Proposal 2

This sets a limit on the aggregate loans, mortgage or overdraft facilities that the Club can have and the conditions required where it is deemed appropriate to exceed this limit.

A simple majority of the registered full members attending the meeting on 20th November is required for the proposed amendments to be adopted, subject to a quorum of 30 members being present. Only fully paid up members can attend and vote at the meeting.

A large attendance is desirable in view of the importance of the proposal to be considered and we are asking members to make a special effort to attend on the night

Proposal 1: New rule 50 (a)

Notwithstanding the provisions of rules 37, 38 and 50 the real property situate at No 2 Church Road shall not be sold, leased, exchanged, transferred or otherwise dealt with or used as security for any future loan, mortgage or other borrowing unless

  • approval is given by a resolution of the registered full members of the Club passed by a 75% majority of registered full members present at a duly convened meeting of the Club where the quorum shall be no less than the higher of 200 or 25% of registered full members, and,

  • in the event of a loan, mortgage or other borrowing being secured that a sum equivalent to 25% of such loan, mortgage or other borrowing is raised by the Club

This rule can only be varied by a resolution of the register full members of the Club passed by a 75% majority of registered full members present at a duly convened meeting of the Club where the quorum shall be no less than the higher of 200 or 25 % of registered full members.”

Proposal 2 - Substitute for existing rule 51 (b)

Loans, mortgage or overdraft facilities in aggregate, from the end of the financial year 2011, exceeding the sum of €50,000 must be sanctioned by way of a resolution passed by a 75% majority of registered full members at a duly convened meeting of the club where the quorum for such purposes shall be no less than 100 registered full members and there shall be no increase in existing facilities prior to the aforementioned date.”
